The Assistant General Counsel will be responsible for working with General Counsel to provide oversight and leadership of all legal aspects of the business, including legal advice in support of strategic corporate initiatives and other complex transactions; directing the strategy and agenda of one or more functions within the Legal Department; drafting and negotiating a variety of agreements; assisting the General Counsel with managing internal and external legal resources. 
 
Your Role:
  • Oversee legal department processes such as contract review and corporate records
  • Draft and negotiate various documents relating to a variety of transactions
  • Draft consulting agreements, confidentiality agreements, and vendor agreements
  • Provide legal advice, guidance and support to various internal business units on corporate transactions and contracting matters
  • Review and revise employee handbooks and other employer policies 
  • Provide legal counsel and guidance on all aspects of federal and state employment laws and regulations 
  • Ability to research and provide information on various legal issues 
  • Liaise with outside counsel on litigation matters
  • Counsel executive team
  • Oversee and lead the work of their associates
  • Other tasks as assigned
 
Qualifications
  • Juris Doctor or LLB degree 
  • Active bar admission in at least one U.S. jurisdiction
  • 8+ years of experience in a corporate legal role
  • Knowledge and experience in auto finance is preferred
  • Litigation experience is a plus
  • Effective negotiation, communication and drafting skills
  • Proven ability to lead and execute all facets of complex transactions including preliminary advice, structuring, due diligence, negotiating, drafting, closing, integration and post closing conflict resolution, service agreements, sales contracts, purchase agreements and other agreements. 
  • Experience in managing litigation matters and close interactions with outside counsel preferred
  • Excellent communication and presentation skills
  • High level of professionalism
